Terms of Sale & EULA

This End User License Agreement ("EULA") is a legal agreement between you ("Licensee" or "you") and the owner of VoxAI ("Licensor," "we," or "us"). By purchasing, downloading, installing, or using the VoxAI software ("Software"), you agree to be bound by the terms of this EULA.

1. License Grant

Upon your purchase, Licensor grants you a limited, non-exclusive, non-transferable, revocable license to use the Software for your personal and professional use on a single streaming profile, subject to the terms and conditions of this EULA.

2. Lifetime of Product & Updates

Your purchase grants you lifetime access to the Software. The "lifetime" is defined as the commercial lifespan of the VoxAI product. The functionality of the Software is heavily dependent on the continued availability and compatibility of third-party services and APIs, including but not limited to those provided by OpenAI, Google, Microsoft Azure, and ElevenLabs.

Licensor reserves the right to discontinue the product and its support (End-of-Life) should these foundational third-party services become unavailable, change their terms in a commercially unviable way, or for any other reason that makes continued operation of the Software infeasible.

Furthermore, while we may release updates to improve or modify the Software, we are not obligated to provide any updates. Should any updates be made available, they will be provided to existing license holders free of charge.

4. Third-Party Plugins

The Software may offer the ability to use third-party plugins or custom scripts. Your use of any such plugins is at your own risk. We do not vet, endorse, or take any responsibility for the functionality, security, or impact of third-party plugins. We cannot be held liable for any damages or issues arising from their use.

5. Scope of Software and Limitations

The VoxAI Software's function is strictly limited to providing the AI-driven intelligence and synthesized voice output for a character. The Software does not include, provide, or support any tools for the creation, management, animation, or on-screen display of visual avatars.

The Licensee is solely responsible for sourcing, configuring, and operating separate, third-party software for vtubing or avatar display (e.g., VTube Studio, VSeeFace). We provide no technical support, guidance, or warranties related to the functionality, compatibility, or performance of any third-party avatar software. Any and all issues arising from the setup, use, or failure of such avatar software must be directed to the developers or support communities of those respective applications.

6. Disclaimer of Warranties & Limitation of Liability

The software is provided "as is," without warranty of any kind, express or implied, including but not to the warranties of merchantability, fitness for a particular purpose, and noninfringement.

In no event shall the licensor be liable for any claim, damages, or other liability, whether in an action of contract, tort, or otherwise, arising from, out of, or in connection with the software or the use or other dealings in the software. This includes, but is not limited to, any direct, indirect, incidental, special, exemplary, or consequential damages (including monetary loss, data loss, damage to your stream or reputation, or any form of mental distress).

7. Intellectual Property

All rights, title, and interest in and to the Software and any copies thereof are owned by the Licensor. The Software is protected by copyright and other intellectual property laws and treaties. This EULA does not grant you any ownership rights in the Software, but only a limited license to use it.

8. Internet and Third-Party Service Requirements

A. Internet Connection: The VoxAI Software is not a standalone application and requires a persistent, stable internet connection to communicate with required third-party services. The Software will not function offline.

B. Operating System Requirement: VoxAI is developed exclusively for the Windows platform. A compatible 64-bit version of Windows 10 or Windows 11 is required for installation and proper operation. Please be advised that we do not offer support for, nor guarantee functionality on, other operating systems such as macOS or Linux.

C. Third-Party Service Costs: VoxAI acts as an interface or a control panel for various third-party Artificial Intelligence (AI) and Text-to-Speech (TTS) services. The purchase price of VoxAI does not include access to, or credits for, these external services. The Licensee is solely responsible for creating accounts with these third-party providers and for all associated costs, fees, and subscriptions related to their use.

D. Minimum Functional Requirement: To achieve the core functionality of the Software, you must have active, funded accounts with at least one (1) of the following AI services: OpenAI or Google Gemini, AND at least one (1) of the following Text-to-Speech (TTS) services: Microsoft Azure or ElevenLabs.

Licensor is not responsible for the availability, pricing, performance, or terms of service of any third-party provider. Changes made by these providers may affect the functionality of the Software, and as stated in Section 2, we are not obligated to provide updates to accommodate such changes.

9. Refund Policy

All sales are final. Due to the digital nature of the software and the immediate access to it upon purchase, we do not offer refunds or credits for any reason, including but not limited to change of mind, dissatisfaction with the product, or failure to read the system requirements.

By completing your purchase, you acknowledge and agree that you are waiving your right to a refund. This no-refund policy is a condition of the sale of this Software.

As outlined in Section 2 and Section 7, the Software's functionality is dependent on third-party services. Any disruption or discontinuation of these third-party services does not make your purchase eligible for a refund.

The only exception to this policy is for accidental duplicate purchases. If you have been charged twice for the same product, please contact us with proof of the transactions, and we will issue a refund for the duplicate charge.
